THIS AGREEMENT CONTAINS A MANDATORY ARBITRATION CLAUSE AND A CLASS ACTION WAIVER THAT WAIVES YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION. YOU MUST REVIEW THIS DOCUMENT IN ITS ENTIRETY, INCLUDING THE DISPUTE RESOLUTION SECTION BELOW, BEFORE USING THE PLATFORM.

THESE TERMS OF SERVICE GOVERN YOUR SUBSCRIPTION TO AND USE OF THE PLATFORM AND SERVICES. PLEASE READ THESE TERMS OF SERVICE CAREFULLY. CAPITALIZED TERMS HAVE THE DEFINITIONS SET FORTH HEREIN. BY COMPLETING THE REGISTRATION PROCESS, CREATING AN ACCOUNT OR ACCESSING OR USING ANY OF THE PLATFORM AND/OR SERVICES, YOU REPRESENT THAT (1) YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE, (2) YOU ARE OF LEGAL AGE TO FORM A BINDING CONTRACT WITH ALPHA LONER, (3) THE INFORMATION YOU PROVIDED IN CONNECTION WITH YOUR REGISTRATION FOR THE PLATFORM/SERVICES IS TRUE, ACCURATE AND COMPLETE, AND (4) YOU HAVE THE AUTHORITY TO ENTER INTO THESE TERMS OF SERVICE PERSONALLY OR ON BEHALF OF THE BUSINESS ENTITY YOU HAVE NAMED AS THE USER, AND TO BIND THAT BUSINESS ENTITY TO THE AGREEMENT. CERTAIN PORTIONS OF THE PLATFORM MAY BE SUBJECT TO “OPEN SOURCE” OR “FREE SOFTWARE LICENSES”. SUCH COMPONENTS WILL BE GOVERNED BY THE TERMS OF THEIR RESPECTIVE TERMS OF USE AND NOT BY THESE TERMS.

ONCE ACCEPTED, THESE TERMS OF SERVICE, IN COMBINATION WITH OUR PRIVACY POLICY DATA PROCESSING AGREEMENT, AND AFFILIATE AGREEMENT (WHEREVER APPLICABLE) (COLLECTIVELY THE “TERMS”), BECOME A BINDING LEGAL COMMITMENT BETWEEN YOU (OR THE BUSINESS ENTITY THAT YOU REPRESENT) AND ALPHA LONER LLC. AND ITS RESPECTIVE OFFICERS, DIRECTORS, BUSINESS AFFILIATES, SUCCESSORS AND ASSIGNS (HEREINAFTER REFERRED TO AS “ALPHA LONER,” “WE” OR “US”) AND WILL GOVERN YOUR ACCESS TO AND USE OF THE PLATFORM AND ALL OTHER INTERACTIONS WITH ALPHA LONER RELATED TO THE PLATFORM.

ALPHA LONER reserves the right to make changes to these Terms at any time. All changes are effective immediately when posted. Your continued use of the Platform following the posting of any revised Terms constitutes your acceptance and agreement to the updated Terms.

Website Development and Domain Ownership Disclaimer

Ownership of Domain and Hosting Services: When engaging our agency for website development services, the following terms apply regarding domain registration and hosting:

Domain Registration: As part of our service, our agency will register and manage the domain name for your website using our account.

The domain remains the property of our agency unless explicitly transferred to the client upon mutual agreement. If you choose to discontinue our services and wish to take ownership of the domain, a transfer fee will apply.

The fee compensates for the registration and administrative costs incurred.

Hosting Services: The website is hosted on our servers as part of the package provided by our agency. Upon termination of services, hosting will be discontinued unless alternative arrangements are made.

Website Ownership: Websites are composed of proprietary code, content, and third-party assets.

Ownership details are as follows:

Code: The majority of the code that forms your website is proprietary to the Content Management System (CMS) used (e.g., WordPress, Shopify). Any custom code developed specifically for your website remains the intellectual property of our agency unless explicitly transferred.

Content: Original photos, text, and other content provided by you are your property. Stock photos and other assets provided by our agency are licensed for your use as part of our agreement. Unless specified otherwise, these assets remain the property of our agency. In some cases, we may grant specific licensed-use in perpetuity.

Termination and Transfers: Domain Transfer: If you wish to take ownership of the domain upon terminating our services, a written request is required. After payment of the transfer fee, we will facilitate the transfer to your registrar account.

Transfer Cost Plans:

1.) Basic Plan: $150 - Includes domain transfer and guidance for self-directed setup.

2.) Standard Plan: $250 - Includes domain transfer, registrar setup assistance, and basic troubleshooting support.

3.) Premium Plan: $500 - Includes domain transfer, full registrar setup, troubleshooting, and 30 days of email support post-transfer.

Website Files: We will provide all original content you supplied (e.g., text and proprietary images). Proprietary or licensed materials (e.g., stock images, custom code) are not transferrable unless otherwise agreed.

Agreement: By engaging with our services, you agree to these terms. If you have questions or would like additional clarification, please contact our team.
