Affiliate Partner Agreement

PLEASE READ BEFORE ENROLLING. This Agreement establishes the terms for participating in the Alpha Loner LLC Affiliate Partner Program. It is intended for a referral-based promotional program and must be interpreted consistently with applicable federal and California law.

This document is a working legal draft for review by a California attorney. It is not a legal opinion or a guarantee that any participant will qualify as an independent contractor.

1. Parties and Agreement

This Affiliate Partner Agreement ("Agreement") is between Alpha Loner LLC ("Alpha Loner," "Company," "we," or "us") and the individual or business applying to participate in the Alpha Loner Affiliate Partner Program ("Affiliate," "you," or "your").

The Agreement governs your application, approval, promotional activities, referral tracking, and eligibility for referral payments.

By electronically accepting this Agreement or otherwise affirmatively agreeing to participate, you acknowledge that you have read and accepted its terms.

The Agreement consists of this document and any applicable affiliate offer sheets, payout policies, contest rules, and written amendments incorporated into it. If documents conflict, this Agreement governs general program matters, while an offer sheet may govern the specific fee and eligibility requirements for its offer. Mandatory legal requirements always prevail.

2. Eligibility and Application

Participation requires approval by Alpha Loner.

Applicants must provide accurate information reasonably required to administer the program, including:

Legal name and contact information.

Business name, if applicable.

Intended promotional channels and general promotional methods.

Applicable tax documentation and payment details.

Other information reasonably necessary to verify eligibility or investigate suspected fraud.

Alpha Loner may accept or decline applications based on legitimate program requirements, compliance concerns, available promotional opportunities, or other lawful criteria.

You must promptly update material changes to your registration or payment information.

Affiliate accounts and tracking credentials are personal to the approved participant or approved business. They may not be sold, transferred, shared, or operated by an undisclosed third party without written authorization.

3. Program Activities and Eligible Offers

Approved affiliates may promote designated Alpha Loner products, services, events, memberships, bundled offers, and promotional opportunities.

Available categories may include:

Other specifically approved campaigns and offers Alpha Loner will identify the offers eligible for referral rewards and publish the applicable terms.

Affiliates may independently decide which approved offers to promote and which lawful promotional channels to use.

Participation in free educational meetings, networking opportunities, workshops, and announced contests is optional. Attendance, recruitment of other affiliates, and purchase of Alpha Loner products are not requirements for earning referral fees.

4. Referral Tracking and Attribution

Alpha Loner may issue an individual affiliate identification number, tracking link, promotional code, or other approved referral identifier.

A referral is credited according to the tracking and attribution rules published for the relevant offer.

Unless an offer expressly provides otherwise:

The referral must be recorded by the designated tracking system or verified through another approved method.

The transaction must relate to an eligible offer.

A single transaction may generate only one standard affiliate referral fee.

Duplicate claims, manipulated tracking, artificial referrals, and attempts to override another affiliate's valid attribution are prohibited.

Tracking records may be reviewed to resolve attribution disputes.

Where multiple affiliates claim the same transaction, Alpha Loner will review the available records and apply the published attribution policy consistently.

No affiliate is guaranteed a particular number of clicks, leads, customers, or sales.

5. Referral Fees and Compensation

Alpha Loner uses a flat-fee referral model unless an individual offer sheet expressly states a different arrangement.

Each eligible offer sheet will identify the applicable referral fee and any additional qualification conditions.

Referral fees are earned only when the transaction satisfies the applicable eligibility requirements. A click, lead, unpaid invoice, free registration, or abandoned checkout does not independently earn a referral fee unless an offer expressly provides otherwise.

Affiliate rewards are not payments for recruiting affiliates, building a downline, or purchasing participation rights. Alpha Loner does not promise a minimum income, a particular sales volume, or financial success.

Referral fees will be paid only for legitimate transactions and will be administered under Section 6 and the applicable offer terms.

6. Payout Processing, Refunds, and Payment Administration

6.1 Standard processing window

Alpha Loner's standard target is to process eligible affiliate payouts between 34 and 44 calendar days after the original customer transaction date.

This window is intended to allow time for customer payments to clear, refunds and cancellations to be identified, transactions to be verified, and payments to be processed.

The processing window is not a guarantee of receipt on a particular day. Alpha Loner will communicate material processing issues when reasonably practicable.

This schedule applies only to payments governed by this affiliate arrangement and does not extend any payment deadline imposed by applicable law.

6.2 Refunds and cancellations

No referral payout will be made for a purchase that is fully refunded or canceled before the payout is approved and processed.

A failed payment, reversed transaction, or unresolved chargeback will not qualify for payment unless it is successfully resolved and otherwise meets the applicable offer requirements.

If a customer receives a refund after a referral payment has already been made, Alpha Loner may review the transaction under the applicable offer terms and governing law. This Agreement does not authorize deductions from other earned compensation, wage offsets, or collection measures prohibited by law.

6.3 Payment requirements

Before payment, affiliates must provide accurate payment details and any tax documentation reasonably required by law.

Alpha Loner may use a third-party payment processor. Any required processing fees or deductions must be disclosed in advance and permitted by applicable law.

If a payment cannot be delivered because an affiliate has provided incorrect or incomplete payment information, Alpha Loner may request corrected information and retry payment.

6.4 Payout records and inquiries

Alpha Loner may maintain records of referral transactions, qualifying fees, refunds, adjustments, and payment dates.

Affiliates may contact the designated program support channel to request review of a missing or disputed payment. Requests should include the affiliate identifier, offer, transaction reference, date, and expected amount, without unnecessary customer personal information.

6.5 Earned payments

Termination, suspension, or account closure does not automatically eliminate referral fees already earned. Eligible outstanding payments will be handled under this Agreement and applicable law.

No provision authorizes forfeiture of earned compensation where forfeiture is legally prohibited.

7. Taxes and Reporting

Affiliates are responsible for their own tax obligations to the extent required by applicable law.

Alpha Loner may request a completed Form W-9, Form W-8, or other appropriate documentation depending on the participant and payment circumstances.

Alpha Loner will make required tax reports and withholdings as applicable. Providing tax documentation or receiving a particular tax form does not determine whether a participant is legally an employee or an independent contractor.

8. Promotional Conduct and Advertising Compliance

Affiliates must comply with applicable federal, state, and local laws and the rules of the platforms through which they promote offers.

All promotional content must be truthful, accurate, and not misleading.

Affiliates must not:

Make unsupported claims about products, services, income, business growth, fitness outcomes, or customer results.

Misrepresent prices, availability, qualifications, or offer conditions.

Publish fabricated testimonials or falsely claim personal experience.

Use deceptive advertising, fraudulent reviews, misleading redirects, or spam.

Make unauthorized guarantees or commitments on behalf of Alpha Loner.

Collect customer payments or sign contracts for Alpha Loner without written authorization.

Use customer information in ways not authorized by the customer or applicable law.

Affiliates must use current approved offer information and promptly correct material inaccuracies in their promotional content.

9. Affiliate Disclosures

Whenever an affiliate promotes an Alpha Loner offer in a context where the affiliate may receive a referral fee, the affiliate must clearly and conspicuously disclose the financial relationship.

A suitable example is:

"I may earn a referral fee if you purchase through my link."

The disclosure must be placed close to the relevant recommendation or link and be readily noticeable to the intended audience. It must not be hidden in a profile, separate terms page, or obscure location.

Affiliates must also comply with applicable endorsement rules and any relevant platform disclosure requirements.

Failure to disclose a material financial relationship may constitute a material breach of this Agreement.

10. Electronic Communications

Alpha Loner may contact applicants and affiliates regarding applications, program administration, payout questions, policy updates, and relevant promotional opportunities using the contact information provided.

Consent to marketing communications will be obtained where required. Participation does not require blanket consent to automated marketing texts or prerecorded calls.

Affiliates may opt out of promotional communications through the method provided in the communication, subject to legally permitted administrative notices and essential account communications.

11. Customer Privacy and Information Security

Affiliates must protect personal information and use it only for lawful, authorized purposes.

Affiliates must not sell, disclose, or misuse customer information obtained through promotional activities.

Customer information must not be collected or shared in violation of applicable privacy laws, consent requirements, or Alpha Loner's disclosed privacy practices.

If an affiliate becomes aware of a suspected unauthorized disclosure or misuse of information relating to the program, the affiliate must promptly notify Alpha Loner through the designated support channel.

12. Prohibited Transactions and Fraud

The following activities are prohibited:

Artificial or fabricated sales.

Misuse of affiliate codes or tracking systems.

Duplicate or fraudulent referral claims.

Unauthorized self-referrals intended to generate a reward.

False customer identities or payment information.

Misrepresentation of an offer to induce a purchase.

Manipulation of refunds, chargebacks, or attribution records.

Unauthorized incentives or rebates presented as Alpha Loner-approved offers.

Any other conduct intended to obtain referral fees through deception or unlawful activity.

Alpha Loner may investigate suspicious transactions, request reasonable supporting information, and temporarily suspend disputed referrals while conducting a good-faith review.

Any denial or adjustment of a referral fee must be based on the applicable terms and facts. Earned compensation will not be forfeited where prohibited by law.

13. Intellectual Property and Brand Use

Alpha Loner retains ownership of its business names, logos, artwork, written materials, promotional assets, and other intellectual property.

Approved affiliates receive a limited, revocable, nonexclusive, nontransferable permission to use specifically approved materials solely to promote authorized Alpha Loner offers during their participation in the program.

Affiliates may not:

Register Alpha Loner trademarks or confusingly similar names.

Use Alpha Loner's name in a domain or account name in a manner that suggests ownership or official representation without written permission.

Alter approved materials in a misleading way.

Claim ownership of Alpha Loner intellectual property.

Continue using program assets after authorization has ended, except where retention is required by law.

All permissions end upon termination unless Alpha Loner expressly authorizes continued use in writing.

14. Complaints and Cooperation

Affiliates must promptly forward material customer complaints concerning an Alpha Loner offer or affiliate promotion to the designated program support channel.

Where reasonably practicable, notification should occur within two business days of receiving the complaint.

Affiliates must cooperate reasonably with inquiries concerning suspected misleading advertising, fraudulent referrals, privacy incidents, or other material program violations.

Nothing in this section prevents a participant from reporting suspected unlawful conduct to a government agency or exercising a legally protected right.

15. Relationship of the Parties

The intended relationship under this Agreement is a referral arrangement, not an employment relationship.

Subject to applicable law, affiliates choose whether to participate, which approved offers to promote, and which lawful promotional methods to use. Optional meetings and networking activities do not constitute mandatory shifts.

Affiliates have no authority to bind Alpha Loner, enter contracts on its behalf, change offer terms, or make commitments in its name.

The actual legal classification of a participant depends on the facts and applicable law, not solely on the wording of this Agreement. If the arrangement is legally an employment relationship, mandatory employment, wage, commission, expense-reimbursement, and other applicable protections will govern.

Any additional work beyond the referral activities described here may require a separate written agreement and legal review.

16. No Guarantee of Results

Alpha Loner does not guarantee that affiliates will generate sales, receive a minimum number of referrals, or earn any particular amount.

Affiliates are responsible for their own optional promotional expenses unless Alpha Loner expressly agrees otherwise in writing.

Participation does not constitute a franchise, employment offer, investment opportunity, or promise of business success.

17. Meetings, Training, and Contests

Alpha Loner may offer optional meetings, educational sessions, networking activities, and promotional contests.

Specific contest rules will be published separately and will identify eligibility, entry requirements, dates, prizes, selection or judging procedures, and other material conditions.

Contest participation is separate from ordinary referral fees. No contest or promotional activity guarantees earnings or requires an affiliate to recruit other participants.

18. Term, Suspension, and Termination

This Agreement begins when the affiliate accepts the terms and is approved for participation, unless a later effective date is expressly stated.

Either party may terminate participation by providing written notice.

Alpha Loner may suspend or terminate access for material violations, suspected fraud, unlawful promotional conduct, misuse of intellectual property, or other legitimate program-integrity concerns.

Where practicable, Alpha Loner will identify the relevant concern and provide an opportunity to correct a remediable violation. Immediate suspension may be appropriate where necessary to protect customers, investigate suspected fraud, or prevent ongoing harm.

Upon termination, the affiliate must stop presenting themselves as an active Alpha Loner affiliate and discontinue unauthorized use of program materials.

Eligible earned referral fees and outstanding transactions will be resolved under this Agreement and applicable law. Termination does not automatically authorize forfeiture of accrued compensation.

19. Program Amendments

Alpha Loner may revise future offers, referral fees, tracking procedures, and administrative policies.

Material changes will be communicated through the designated program channel and will identify their effective date.

Changes to compensation terms will apply prospectively after appropriate notice and acceptance where required. No amendment will retroactively eliminate compensation already earned or waive a mandatory legal protection.

If an affiliate does not accept a material change, the affiliate may discontinue participation before the change takes effect, subject to the terms governing outstanding referrals and applicable law.

20. Disclaimers and Liability

The program, promotional materials, and tracking tools are provided subject to applicable law. Alpha Loner does not warrant uninterrupted tracking or guaranteed promotional results.

Nothing in this Agreement excludes or limits liability where such exclusion or limitation is prohibited by law, including liability for fraud, willful misconduct, or other nonwaivable obligations.

To the extent permitted by law, neither party will be liable to the other for indirect or consequential losses arising from ordinary program participation, except where such limitation is prohibited or inappropriate under applicable law.

Nothing in this section limits a party's rights or remedies that cannot legally be waived.

21. Responsibility for Conduct and Third-Party Claims

Each party remains responsible for its own conduct and legal obligations.

An affiliate may be responsible for third-party claims caused by the affiliate's own unlawful conduct, material misrepresentations, infringement, or breach of this Agreement, to the extent established under applicable law.

Nothing in this section creates an unlimited indemnity, waives nonwaivable rights, or requires an affiliate to assume liability for Alpha Loner's own wrongdoing.

22. Dispute Resolution and Governing Law

The parties will make a reasonable effort to resolve program disputes informally by exchanging relevant information and communicating through the designated contact channel.

This Agreement is governed by California law, without displacing applicable federal law or mandatory legal protections.

Any court proceeding will be brought in a court with appropriate jurisdiction and venue under applicable law.

No mandatory arbitration clause, class-action waiver, or waiver of statutory remedies is created by this Agreement. Any separate dispute-resolution provision must be expressly presented and reviewed for enforceability before adoption.

23. Severability and Waiver

If a provision is held unlawful or unenforceable, it will be limited or severed only to the extent necessary, and the remaining provisions will continue to apply where legally permissible.

A party's failure to enforce a provision on one occasion does not automatically waive the right to enforce it later.

24. Entire Agreement

This Agreement and the applicable incorporated offer sheets, payout policies, and contest rules constitute the agreement governing participation in the Alpha Loner Affiliate Partner Program.

They supersede prior discussions concerning the same subject, except for written agreements that expressly remain in effect.

If a provision conflicts with a mandatory legal requirement, the legal requirement controls.

25. Acceptance and Acknowledgment

By signing below or electronically accepting this Agreement, the affiliate confirms that:

They have reviewed the program terms.

They understand that referral fees are conditional on qualifying sales.

They understand the standard 34–44-calendar-day payout processing window and refund rules, subject to applicable law.

They agree to follow the advertising, disclosure, privacy, and brand-use requirements.

They understand that participation does not guarantee income or sales.

They understand that the Agreement does not independently determine their legal worker classification.

SCHEDULE B — AFFILIATE PROMOTIONAL DISCLOSURE

Affiliates may adapt the following disclosure to fit their promotional format, provided the financial relationship remains clear and conspicuous:

"I may receive a referral fee if you purchase through my link. This does not change the price you pay unless the offer specifically states otherwise."

Disclosures must be placed close to the relevant recommendation or link. Affiliates must not make misleading claims about Alpha Loner, its offers, or their own results.

SCHEDULE C — OPTIONAL MEETINGS AND CONTESTS

Alpha Loner may publish separate notices describing optional educational meetings, networking opportunities, and contests.

Each contest notice should specify:

Eligibility.

Entry method.

Start and end dates.

Judging or winner-selection method.

Prize description and any restrictions.

How and when prizes will be awarded.

Any required disclosures or additional conditions.

Participation in meetings and contests is voluntary and does not replace or modify ordinary referral-payment terms unless an expressly accepted written offer provides otherwise.
